The filing states,<\/p>\n<p><em><strong>\u201cEffective as of the Effective Date, Khan\u2019s base salary shall be $2,000,000 each year through December 31, 2026, after which shall be $3,000,000 each year for the period from January 1, 2027 through the top of the Term, less applicable taxes and withholdings, payable on a bi-weekly basis in accordance with WWE\u2019s standard payroll practices as such standard practices could also be updated now and again, and subject to merit adjustments inside the sole discretion of WWE (and subject to approval by TKO\u2019s Board of Directors (the \u201cTKO Board\u201d) or such committee(s) or person(s) (including, without limitation, the Chief Executive Officer of TKO) to which the Board (or the applicable committee thereof) has delegated power and authority now and again (the Board or such committee(s) or person(s), as applicable, the \u201cGoverning Body\u201d) (\u201cBase Salary\u201d).<\/strong><\/em><\/p>\n<p><em><strong>(b) Incentive Bonus: Throughout the Term, Khan shall even be eligible to receive an annual bonus award (\u201cAnnual Bonus\u201d), subject to the attainment of certain performance metrics, which can include the attainment of EBITDA-based targets and\/or such other metrics as determined by the Governing Body, in its sole discretion. Effective as of the Effective Date, the goal amount of Khan\u2019s Annual Bonus shall be 150% of the Base Salary (i.e., goal $3,000,000) for calendar yr 2026 and shall be 200% of the Base Salary (i.e., goal $6,000,000) for every calendar yr remaining within the Term (i.e., 2027, 2028, 2029 and 2030) (as applicable, the \u201cGoal Annual Bonus\u201d). The quantity of any Annual Bonus will likely be determined based upon those aspects indicated above by the Governing Body in its sole discretion. The Annual Bonus for any calendar yr will likely be paid by March fifteenth of the following calendar yr.
