NOTICE AND AGENDA OF<\/strong><\/p>\n 2026 ANNUAL STOCKHOLDERS\u2019 MEETING<\/strong><\/p>\n NOTICE IS HEREBY GIVEN that the Annual Stockholders\u2019 Meeting (\u201cASM\u201d) of BENEFICIAL LIFE INSURANCE COMPANY, INC. (the \u201cCompany\u201d)<\/strong> might be held through distant communication via\u00a0<\/span>https:\/\/www.benlife.com.ph\/benlife-2026-ASM\/<\/em><\/a><\/strong>\u00a0on June 30, 2026<\/strong>, Tuesday, at 3:00 o\u2019 clock within the afternoon<\/strong> with the next:<\/span><\/p>\n A G E N D A<\/u>1<\/sup><\/strong><\/p>\n Only stockholders of record on the close of business hours on June 08,\u00a02026\u00a0are entitled to note of, and vote at, this ASM.<\/span><\/p>\n In view of current circumstances and pursuant to and in accordance with the Company\u2019s Amended By-Laws, the Board of Directors during its Regular Meeting held on April 08, 2026, resolved that the Annual Stockholders\u2019 Meeting be held in a totally virtual format, thus, stockholders may only attend the ASM by distant communication, by voting in absentia, or by appointing a proxy.<\/span><\/p>\n Stockholders desiring to take part in the meeting by distant communication must register at <\/span>https:\/\/form.jotform.com\/benlifemis.com.ph\/2026-ASM-registration<\/em><\/a><\/strong>\u00a0on or before 5:00 o\u2019clock within the afternoon of 29 June 2026. Stockholders may vote by distant communication, or in absentia<\/em> subject to validation procedures. The procedures for participation within the meeting through distant communication and for\u00a0casting of\u00a0votes in absentia are explained within the Information Statement.<\/span><\/p>\n Stockholders who intend to vote by proxy shall submit the duly completed proxy to, and have to be received by, the Office of the Corporate Secretary, seventh\/F Useful Life Constructing, 166 Salcedo Street, Legaspi Village, Makati City or via email to <\/span>[email\u00a0protected]<\/span><\/em><\/strong><\/span>\u00a0not later than 5:00 P.M. of June 23, 2026.
