NOTICE OF ANNUAL STOCKHOLDERS\u2019 MEETING<\/span><\/b>\u00a0<\/span><\/p>\n June 08, 2026<\/span><\/b><\/p>\n The Annual Meeting of the Stockholders of Bank of Commerce (the Bank) shall be held on <\/span>Tuesday,<\/span><\/b>\u00a0<\/span>June 30,\u00a02026\u00a0at 11:00 A.M.<\/span><\/b>\u00a0As\u00a0permitted\u00a0by its By-laws, the Bank will conduct the annual meeting via distant communication using Pro Version License Zoom Application and livestreaming as authorized by the Board of Directors on\u00a0April 15, 2026.<\/span><\/p>\n The\u00a0Agenda\u00a0of\u00a0the\u00a0Meeting\u00a0is\u00a0as\u00a0follows:<\/span><\/p>\n Stockholders who would really like to attend the meeting must advise the Bank on or before\u00a0<\/span><\/span>Wednesday,<\/span><\/span>\u00a0<\/span><\/span>June 24, 2026<\/span><\/span>, by sending the next information to\u00a0<\/span><\/span>[email\u00a0protected]<\/span><\/span><\/span><\/strong>: (1) Name; (2) E- mail address; (3) Contact number; (4) Postal address; and (5) scanned copy of any valid government-issued ID with photo of the stockholder, to acquire the link for the 2026 Annual Stockholders\u2019 Meeting.<\/span><\/span><\/p>\n Stockholders may visit the Bank\u2019s website at <\/span>https:\/\/www.bankcom.com.ph\/disclosure<\/strong><\/span><\/a>\u00a0to download\u00a0copies\u00a0of\u00a0(a)\u00a0the\u00a0Minutes\u00a0of\u00a0the\u00a0Annual\u00a0Stockholders\u2019\u00a0Meeting\u00a0held\u00a0on\u00a027 May 2025 and\u00a0(b) the proxy form\/ballot.<\/span><\/p>\n Electronic\u00a0copies\u00a0of\u00a0the\u00a0Information\u00a0Statement\u00a0and\u00a0Management\u00a0Report\u00a0shall\u00a0be\u00a0available\u00a0on\u00a0the\u00a0Company\u2019s\u00a0website\u00a0and\u00a0the\u00a0PSE\u00a0Edge.<\/span><\/p>\n Ballots and proxies could also be submitted via email to <\/span>[email\u00a0protected]<\/span><\/strong><\/span><\/a>, which submission shall be duly acknowledged and validated by the Bank\u2019s stock transfer agent, SMC Stock Transfer Service Corporation. For a person, the submission have to be accompanied by a duplicate of a government-issued ID with photo, as proof of identification. For an organization, the submission have to be accompanied by a certification from its Corporate Secretary stating the company officer\u2019s authority to represent the corporation within the meeting. In case of an event that restricts the movement of individuals and makes submission of the originally signed ballots, proxies, and notarized Secretary\u2019s Certificate difficult, these documents shall be submitted to the SMC Stock Transfer Service Corporation inside an inexpensive time after the Annual Stockholders\u2019 Meeting.<\/span><\/p>\n During\u00a0the\u00a0meeting,\u00a0the\u00a0Bank\u00a0shall\u00a0entertain\u00a0questions\u00a0and\u00a0comments\u00a0from\u00a0the\u00a0stockholders\u00a0after the presentation of the Annual Report. Questions and comments have to be\u00a0submitted\u00a0either upfront by email to\u00a0<\/span>[email\u00a0protected]<\/span><\/strong>\u00a0<\/span>or throughout the meeting by posting the questions and comments within the feedback box that shall be made available. Priority shall be given to questions sent upfront. Questions which are usually not answered throughout the meeting shall be forwarded to the Office of the Corporate Secretary for the suitable response.<\/span><\/p>\n The deadline for submission of the proxy and ballot\u00a0is on\u00a0<\/span>June 24, 2026<\/span><\/b>.\u00a0Validation of\u00a0proxies and ballots shall be on\u00a0<\/span>June 25,\u00a02026\u00a0<\/span><\/b>at 10:00AM on the SMC Stock Transfer Service Corporation Office, 2nd Floor, SMC Head Office Complex, No. 40 San Miguel Ave., Mandaluyong City, Philippines.
